What Boards Should Know About AI (But Rarely Ask)
Artificial intelligence has moved quickly from experimental to operational. In many organizations, it is already shaping decision-making, automation, customer experience, and risk exposure - often without formal board-level discussion.
Boards do not need to become experts in AI. But they do need to understand where responsibility lies, how risk is governed, and what questions management should be answering before AI becomes embedded in critical systems.
What follows are not technical considerations. They are governance questions - the kind boards are expected to ask, but often do not.
1) Where is AI already being used - formally or informally?
In many organizations, AI adoption begins quietly.
Teams experiment with tools to speed up reporting, customer communication, analytics, or internal workflows. Vendors introduce AI-enabled features by default. Employees use publicly available tools without clear policy or oversight.
The first question for boards is not "Should we use AI?" It is: "Where is AI already influencing decisions, data, or outcomes today?"
If leadership cannot answer that clearly, the organization is already exposed - whether intentionally or not.
2) Who owns AI accountability?
AI does not fit neatly into traditional organizational structures.
Boards should expect management to clearly articulate who owns AI strategy, who governs acceptable use, and who is accountable when something goes wrong.
If responsibility is fragmented - or assumed rather than defined - risk increases exponentially.
3) How does AI change risk, not just efficiency?
Most AI conversations begin with efficiency and innovation. Boards should redirect part of that discussion toward risk amplification.
AI can accelerate bad decisions as quickly as good ones, scale errors instantly, introduce bias or compliance exposure, and create new cybersecurity and data privacy risks.
Boards should ask how AI changes the risk profile, what controls exist to detect errors early, and what human oversight is required - and enforced.
The absence of guardrails is not innovation. It is unmanaged exposure.
4) What data is AI touching - and who is responsible for it?
Boards should understand what data feeds AI tools, whether that data includes regulated or proprietary information, and how access is monitored and logged.
A critical question often overlooked: "Could we explain and defend our AI data practices to a regulator, customer, or insurer?"
If the answer is unclear, governance has not kept pace with capability.
5) How is AI integrated into existing oversight structures?
AI should not sit outside existing governance frameworks. Boards should expect AI oversight to integrate with cybersecurity governance, compliance and audit, risk management, insurance conversations, and incident response planning.
AI does not replace governance. It increases the need for it.
6) How are we preparing leadership and staff - not just systems?
Technology risk is often human risk in disguise. Boards should ask whether leaders understand AI limitations, employees know acceptable use, and the culture supports transparency when AI produces questionable results.
7) What does "good" look like one year from now?
Boards should resist vague AI roadmaps. Ask management to define what responsible AI adoption looks like in 12 months, what success metrics matter beyond cost savings, and what risks have been reduced - not just what capabilities have been added.

AI is not a future issue. It is a present governance responsibility.
The most effective boards are not those that understand AI best, but those that ask the clearest questions, insist on ownership, and integrate AI oversight into how they already govern risk and strategy.
